Kinnara’s Agency Role with Marina Bay City Lombok Set to Be Cancelled After Alleged Serious Breaches, Says Lux Property

Lux Property, the 100% owner of Marina Bay City in South Lombok, has moved to terminate Kinnara’s role as an introducing and marketing agent to the multi-billion-dollar project, after what it describes as “serious and unrectified breaches” of both the buyout agreement and the agency agreement between the parties.
According to Lux Property, repeated efforts to resolve the issues privately have failed, leaving management with “no choice but to proceed towards full cancellation” of Kinnara’s involvement with Marina Bay City.
Background: From Partner to Former Stakeholder and Agent
Kinnara, a real estate and technology platform, was previously a joint-venture partner in Marina Bay City before being bought out for an undisclosed amount by Lux Property.
Following the buyout, Kinnara’s role was reduced to that of an introducing/marketing agent, assisting in promoting Marina Bay City under clear contractual terms and licensing conditions set by Lux Property and Marina Bay City management.
Lux now alleges that since the buyout, Kinnara has:
•Failed to comply with key obligations under the buyout agreement; and
•Failed to adhere to material conditions of the subsequent agency agreement.
Lux Property maintains that these alleged breaches have continued despite formal notices and opportunities for Kinnara to remedy them.
Alleged Breaches of the Buyout and Agency Agreements
In internal correspondence and statements to stakeholders, Lux Property has outlined several categories of alleged breaches, including (but not limited to):
•Failure to fully comply with buyout terms – including conditions linked to the transition of control, branding, and digital assets relating to Marina Bay City.
•Continuing use of Marina Bay City–related branding and assets in ways Lux alleges are inconsistent with the post-buyout arrangements and agency limitations.
•Conduct said to be inconsistent with acting as a non-competing agent, including alleged attempts to promote or direct buyers into other projects while trading off Marina Bay City’s name, goodwill, or marketing materials.
Lux Property says these matters have materially damaged trust and have the potential to confuse buyers, investors, and the broader market about who legitimately represents Marina Bay City and who is authorised to sell property within the city.
Lux Property: “We Must Protect Buyers and the Integrity of the City”
Lux Property management has stated that its first duty is to protect:
1.Buyers and investors, ensuring they only deal with licensed, authorised parties; and
2.The long-term reputation of Marina Bay City, which is positioned as a landmark master-planned development for Lombok and Indonesia.
A senior Lux Property representative said the company cannot tolerate any arrangement which, in its view, risks:
•Misleading buyers about who they are truly purchasing from;
•Compromising the legal enforceability of contracts; or
•Jeopardising future access to Marina Bay City’s infrastructure, services, and amenities for purchasers who buy through unauthorised channels.
Management has reiterated that only Lux-approved and formally licensed developers or agents are authorised to sell property within Marina Bay City, and that such appointments will always be clearly listed and verifiable via official Marina Bay City channels.
Cancellation of Kinnara’s Agency Status
Lux Property has now confirmed it is moving ahead with the cancellation of Kinnara’s agency agreement after what it describes as:
“Multiple notices, clear opportunities to rectify, and continuing failure by Kinnara to remedy serious breaches of its contractual obligations.”
According to Lux, this cancellation means that:
•Kinnara is no longer authorised to represent Marina Bay City or Lux Property in any capacity;
•Any marketing or sales activity done in the name of Marina Bay City by Kinnara or its associates would be unauthorised; and
•Buyers who engage with any non-approved party risk having no recognised rights of access to Marina Bay City’s planned roads, amenities, and shared facilities.
Lux has urged buyers and agents to verify the status of any representative directly with Marina Bay City or Lux Projects Bali before paying deposits or signing agreements.
Warning to Buyers and Agents
Lux Property and Marina Bay City management are expected to step up their communication efforts with investors and the broader market, including:
•Publicly listing all approved developers and sales channels;
•Issuing formal notices that Kinnara is no longer a recognised agent; and
•Reiterating that all payments for Marina Bay City property must be made directly to Marina Bay City or authorised entities nominated in official documentation.
They also caution that anyone who purchases land or property through unlicensed or unauthorised parties may:
•Face difficulties in securing legal recognition of their purchase within the master plan; and
•Be denied access to infrastructure and amenities that are reserved for recognised Marina Bay City landholders and their guests.
